Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Keywave voice verification API, developer dashboard, documentation, and related services (collectively, the "Service"), provided by Blocra, Inc. ("Company", "we", "us", or "our"). Keywave is the Company’s product name.

The Service is intended primarily for business and developer use. By accessing or using the Service, you represent that you have the authority to bind yourself or the organization you represent to these Terms and that you agree to be bound by them. If you do not agree, you may not access or use the Service.

1. Definitions

• "Customer" means the individual or entity that registers for and uses the Service.
• "End User" means any individual whose voice or personal data is processed through the Customer’s application.
• "Voice Data" means audio recordings, voiceprints, embeddings, or derived voice features submitted to the Service.
• "Personal Data" means any information relating to an identified or identifiable individual.
• "Customer Application" means any software, website, or service operated by Customer that integrates the Service.
• "Your Data" means all data and content submitted to the Service by or on behalf of Customer.

2. Account Registration and Access

2.1 Account Creation

You must provide accurate, current, and complete information when creating an account and keep such information up to date.

2.2 Account Security

You are responsible for maintaining the confidentiality of your credentials and API keys. You must promptly notify us of any unauthorized access. We are not responsible for losses caused by compromised credentials.

2.3 Eligibility

You must be at least 18 years old and capable of forming a binding contract.

3. Acceptable Use Policy

You agree not to:

• Use the Service in violation of any law or regulation
• Process Voice Data without legally valid consent and required notices
• Enroll or process voices of minors without verifiable parental consent
• Use the Service for surveillance, tracking, or monitoring without consent
• Create or facilitate impersonation, deception, or identity fraud
• Attempt to extract, reconstruct, or reverse engineer models, embeddings, or algorithms
• Use the Service to build or benchmark a competing voice verification product
• Transmit malware or harmful code
• Interfere with or disrupt the Service
• Access non public portions of the Service by automated means

4. API Usage and Limits

4.1 API Keys

API keys must not be embedded in client side code or public repositories.

4.2 Rate Limits

Usage limits depend on your plan. Exceeding limits may result in throttling or suspension.

4.3 Service Changes

We may modify or discontinue portions of the Service. Where reasonable, we will provide advance notice of material changes.

5. Voice Verification Disclaimer

The Service provides probabilistic voice matching and verification results. No verification result is guaranteed to be accurate. You are solely responsible for determining whether and how to rely on results, particularly for high risk or sensitive use cases. The Service should not be used as the sole factor for decisions that produce legal or similarly significant effects.

6. Data Processing and Privacy

6.1 Ownership

You retain ownership of Your Data. You grant the Company a limited license to process Your Data solely to operate, maintain, secure, and improve the Service.

6.2 Roles

You act as controller or business regarding Personal Data. The Company acts as processor or service provider.

6.3 Compliance

You represent that you have lawful basis, consent, and authority to submit Voice Data and Personal Data.

6.4 Retention

Data is retained only as necessary to provide the Service, meet legal obligations, and enforce these Terms, unless longer retention is configured by Customer.

6.5 DPA

A Data Processing Agreement may be provided upon request. Contact support@keywave.io.

6.6 Privacy Policy

Use of personal information is governed by our Privacy Policy.

7. Security

We maintain reasonable administrative, technical, and organizational measures designed to protect data. No method of transmission or storage is completely secure.

8. Payment and Billing

Fees are billed in advance. All fees are exclusive of taxes. Payments are non refundable unless required by law.

9. Intellectual Property

The Service and underlying technology are owned by the Company. Feedback may be used without obligation.

10. Disclaimers and Liability

The Service is provided "as is" without warranties. To the maximum extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages. Total liability will not exceed amounts paid in the prior twelve months or one hundred U.S. dollars, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless the Company from claims arising from your use of the Service or violation of these Terms.

12. Termination

Either party may terminate. Upon termination, access ends and outstanding fees remain owed.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States.
